1. Scope and Acceptance of the Agreement

This Agreement covers the sale, delivery, and use of all digital services provided by EQLEM YAZILIM (subscription packages, premium features, plugins, integrations, etc.), as well as all related processes. By registering on the Platform or purchasing our services, you declare that you have read all the provisions and attachments of this Agreement in their entirety, understand their content, and agree to be bound by these terms.

1.1. Binding Nature of the Agreement

This Agreement has been prepared to establish an environment of mutual trust between our Company and its users. In the event of non-compliance with the rules, EQLEM YAZILIM reserves the right to suspend service provision, suspend your account, or permanently terminate it.

1.2. Scope of Services

Our services are primarily offered in two main categories:

• Basic Services: Standard services with limited features, provided free of charge or as limited versions.
• Premium Services: Professional services such as advanced operational modules, integrations, unlimited technical support, and multilingual options, offered through paid subscription packages.

1.3. Legal and Legitimate Use

As a user, you agree to use the services we provide solely for legal and legitimate purposes, in compliance with the laws of the Republic of Turkey and international regulations. In the event of detected unlawful use, our Company reserves the right to pursue legal remedies.

2. Sales Process and Payment

2.1. Order Creation and Confirmation

When you wish to purchase a service, you create an order by selecting a plan suitable for your business from the relevant “Pricing/Packages” section on the Platform. Once Once you enter your payment method and billing information and the transaction is completed, your order is automatically approved, and the services are activated in your account.

2.2. Fees, Pricing, and Right to Update

Service fees and e-document/credit prices are clearly stated on the Platform. Payments may be made via credit card (Visa, MasterCard, etc.), bank transfer, or electronic payment systems. EQLEM SOFTWARE reserves the right to unilaterally update or increase subscription fees, e-document credits, and additional credit/package prices at any time in accordance with changing market conditions, inflation, or technical costs. The new price schedule becomes effective as soon as it is published on the Platform and applies to new subscription periods or the purchase of additional packages. No increase will be applied to usage fees for the User’s current (paid) active period.

2.3. Billing

Once payment is completed, an e-invoice is automatically sent to your registered email address. Invoices are delivered digitally in full compliance with the Republic of Turkey’s e-invoice system.

2.4. Payment Delays and Suspension

In the event of a payment delay, EQLEM YAZILIM reserves the right to suspend your access to the services. The user is notified during the delay period; if payment is not made within the specified grace period, service access is temporarily suspended. Access is immediately reinstated upon payment.

3. Delivery

Our company provides its services via a digital cloud platform, and delivery occurs digitally immediately after payment is confirmed. There is no physical shipment. A stable internet connection and an up-to-date web browser are required for the services to function properly.

4. Right of Withdrawal and Return Conditions

Pursuant to Law No. 6502 on the Protection of Consumers, since delivery is deemed to have occurred at the time of service provision for digital content and software services, the right of withdrawal generally does not apply. However, EQLEM SOFTWARE will review refund requests (no data has been entered, no invoices have been generated, etc.), EQLEM SOFTWARE will consider refund requests submitted within 14 days of the purchase date. Approved refunds will be issued in full within 30 days.

5. Rights and Obligations of the Parties

5.1. User Obligations

The User undertakes to provide accurate and complete information, pay subscription fees on time, keep the account password confidential, and use the Platform in compliance with the law.

5.2. EQLEM SOFTWARE’s Rights and Obligations (SLA and Outages)

Our company exercises due diligence to minimize technical glitches but does not guarantee absolutely uninterrupted or flawless service. Service interruptions resulting from scheduled maintenance, cyberattacks, telecommunications infrastructure failures, service provider outages (AWS, Bunny.net, etc.), or force majeure events (natural disasters, war, etc.) EQLEM SOFTWARE shall not be held liable in any way for such access interruptions. The Recipient hereby interruptions. Our company reserves the right to develop, update, or discontinue the services provided, as well as to suspend the service partially or entirely in the event of a breach of this Agreement.

6. Intellectual Property and Limitation of Liability

All designs, software codes, algorithms, and service content belonging to EQLEM YAZILIM are protected by national and international copyright laws and intellectual property laws. The purchased service grants the Recipient only a “license to use”; no copyright, patent, or source code ownership is transferred. The Platform is provided “as is.” EQLEM SOFTWARE shall under no circumstances be held liable for the use or inability to use the Platform, data loss, or any direct or indirect loss of profits. The periodic and backing up data is entirely the User’s responsibility. EQLEM SOFTWARE’s maximum financial liability arising from this agreement (including contractual, tort, or other legal claims) shall in no event exceed the total net subscription fee actually paid by the User to EQLEM YAZILIM during the six (6) months preceding the date on which the event in question occurred.

7. Termination and Amendments

In the event that the User breaches any of the terms of this Agreement, delays payments, or engages in activities harmful to the system or other users, EQLEM YAZILIM reserves the right to immediately terminate this Agreement unilaterally and without being liable for compensation, to immediately terminate this Agreement unilaterally, suspend the services, and delete the account. EQLEM YAZILIM reserves the right to at any time. Any updates take effect as soon as they are published on the Platform or the website. By continuing to use the services or the Platform after such updates, the User is deemed to have accepted the changes.
